Sports Predictor Predict is an interface in the Sports Predictor app (operated by Boom Shakalaka, Inc.), and is operated and provided by Boom Trading LLC ('we', 'us').It lets you view and trade event contracts listed on Stake Trade, Inc. d/b/a ProphetX ("ProphetX"), a designated contract market regulated by the U.S. Commodity Futures Trading Commission ("CFTC"). These Sports Predictor Predict Disclosures & Terms (the "Predict Terms") supplement the Sports Predictor Terms of Service (the "Terms"). If the two conflict as to Sports Predictor Predict, these Predict Terms control. Your trading is also governed by ProphetX's terms of service, rulebook, policies and procedures (the "ProphetX Terms"), which you must accept before trading.
Disclosures
By using Sports Predictor Predict, you acknowledge that Sports Predictor:
- is not registered with the CFTC in any capacity and is not a member of the National Futures Association;
- acts as a technology provider (an independent software vendor) that gives you a front-end interface to ProphetX;
- does not accept, execute, clear or settle orders, and holds no trading or clearing membership;
- does not hold, custody or control the funds in your ProphetX account;
- does not give investment, trading, tax or legal advice, and nothing in the Service is a recommendation to buy or sell any contract; and
- does not endorse ProphetX or any contract listed on it.
1. Opening a ProphetX account through Sports Predictor Predict
To trade, you need a ProphetX account. When you choose to open one in Sports Predictor Predict, you direct us to send ProphetX the information you enter so that ProphetX can open the account in your name. The account is between you and ProphetX, not Sports Predictor. ProphetX alone decides whether to open, verify, restrict or close it, including its identity checks, minimum age and the states where you may trade. ProphetX's verification is separate from ours: passing Sports Predictor verification does not verify you with ProphetX, and the reverse is also true. Some identity details, such as your name, date of birth and SSN last four, may not be changeable once ProphetX has accepted them, so check them before you submit. You must also hold a Sports Predictor account in good standing, and Sports Predictor may decline to offer Sports Predictor Predict to any user or in any location. You may link only one ProphetX account to your Sports Predictor account, and both must be in your own name.
2. Your Sports Predictor Predict balance
The Sports Predictor Predict balance shown in the Sports Predictor app is the balance of your ProphetX account. We display it for your convenience. ProphetX, or a custodian it uses, holds those funds; Sports Predictor does not. Your Sports Predictor Predict balance is separate from your Sports Predictor balance. You cannot move funds between them, and you cannot use Sports Predictor bonus funds, free entries or tokens in Sports Predictor Predict. Deposits and withdrawals to and from your Sports Predictor Predict balance are processed by ProphetX, under the ProphetX Terms, using the payment methods ProphetX accepts. What we display may lag what ProphetX shows. If they differ, ProphetX's records control.
3. All trading happens on ProphetX
When you place an order in Sports Predictor Predict, the app sends your instruction to ProphetX. ProphetX lists the markets and sets their availability. It matches and executes orders, settles contracts and determines outcomes. Sports Predictor cannot cancel, change or reverse an order or a settlement. Questions about a trade, a settlement or a market outcome must go to ProphetX.You may not use Sports Predictor Predict to trade on material non-public information, to manipulate any market, to trade with yourself or in coordination with others, or in any other way the ProphetX Terms prohibit.
4. Our relationship with ProphetX
Sports Predictor and ProphetX are independent companies. Sports Predictor is not ProphetX's agent, representative, joint venturer, partner or financial intermediary. Our role is limited to providing the interface, marketing it and supporting your Sports Predictor account. We are not responsible for ProphetX's systems, operations, solvency or compliance. ProphetX handles questions and disputes about trades, settlements, your ProphetX account status and custody of your funds. 5. Information we share with ProphetX
To provide Sports Predictor Predict, we send ProphetX the information you enter to open and keep your account. That includes your name, date of birth, email, residential address and SSN last four. We do not send ProphetX your location; ProphetX runs its own location checks for Sports Predictor Predict. We receive from ProphetX your verification status, balance, positions, orders, deposits and withdrawals. We use this to show your activity in the app, enforce your responsible gaming settings, and prevent fraud. If you've already verified with one product, we may prefill the other's verification form, and you must confirm or correct the prefilled details. 6. Responsible gaming, self-exclusion and account actions
You reach Sports Predictor Predict through your Sports Predictor account, so our account controls apply to it. If you self-exclude from Sports Predictor, you cannot access Sports Predictor Predict or open new positions for the exclusion period. Deposit and other limits you set in Responsible Gaming count your activity across contests and Sports Predictor Predict together, and are checked before a transaction completes. If you self-exclude, any funds remaining in your Sports Predictor Predict balance are subject to return or withdrawal in accordance with the ProphetX Terms, which ProphetX administers.
If we suspend, ban or close your Sports Predictor account, your access to Sports Predictor Predict through the app ends. In each case, ProphetX handles your ProphetX account, open positions and funds under the ProphetX Terms.
7. Promotions
Any bonus, rebate, credit or other incentive offered in Sports Predictor Predict is offered under a program ProphetX has filed with the CFTC. That program's published terms govern eligibility, payout and duration. Sports Predictor promotions, referral rewards and new-user offers do not apply to Sports Predictor Predict unless their terms expressly say so.
8. No endorsement
Showing ProphetX markets in the app is a technology convenience, not an endorsement. We make no promise about ProphetX's solvency, the accuracy of its data or prices, or whether its service will be available or error-free. You are responsible for your own trading decisions.
9. No warranty; limitation of liability
Sports Predictor Predict is provided "as is" and "as available," without warranties of any kind. To the fullest extent the law allows, Sports Predictor is not liable for any indirect, incidental, special or consequential damages from your use of Sports Predictor Predict. That includes trading losses, lost profits, and losses from ProphetX outages, data errors or insolvency. It also covers regulatory action, contract delistings, state restrictions on access, and disputes about custody or settlement. Section 9 (Limitation on Liability) and Section 15 (Arbitration Agreement) of the Terms apply to Sports Predictor Predict, except for disputes that belong with ProphetX as described in Section 4 above.
10. Changes to Sports Predictor Predict
We may add, change, suspend or remove Sports Predictor Predict, or any market shown in it, at any time and without notice. Doing so does not affect your ProphetX account or open positions, which remain governed by the ProphetX Terms. We may update these Predict Terms as provided in Section 2 of the Terms.
11. Event contracts carry risk
Trading event contracts involves risk, and you can lose the full amount you pay for a contract. Read ProphetX's risk disclosures before you trade. Trade only with money you can afford to lose.
